BY ENTERING (OR OTHERWISE PARTICIPATING IN) THE SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SWEEPSTAKES PARTIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES. 

 

  1. ELIGIBILITY: The FUNDAY Natural Sweets Launch Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States and the District of Columbia who are of the age of majority in their state of residence (18 or older in most states; 19 in Alabama and Nebraska). Employees, officers and directors of Better Confectionery North America Inc. d/b/a FUNDAY Natural Sweets (“Sponsor”), Realtime Media LLC (“Administrator”), and their respective parent companies, affiliates, subsidiaries, advertising, promotion, marketing, fulfillment, and judging agencies, and any influencers, creators, or other individuals or entities involved in the development, production, execution, or distribution of this Sweepstakes (collectively, the “Sweepstakes Parties”), their immediate family members and those living in the same household as such individuals (whether legally related or not) are not eligible to participate in the Sweepstakes or win a prize. For purposes of this Sweepstakes, immediate family members are defined as spouse, partner, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren and their respective spouses, and those living in the same household shall mean people who share the same residence at least three (3) months a year, whether legally related or not. Void where prohibited by law. All federal, state, and local laws and regulations apply. By participating in the Sweepstakes, you unconditionally accept and agree to comply with and abide by these “Official Rules” and the decisions of Sponsor, including the interpretation of these Official Rules, administration of the Sweepstakes, selection of the winners, and Sponsor’s exercise of discretion, which will be final, non-appealable, and binding in all respects.  

 

  1. TIMING: The Sweepstakes begins at 12:00:01 p.m. Eastern Time ("ET") on September 18, 2026, and ends at 11:59:59 p.m. ET on November 1, 2026 (the “Sweepstakes Period”).  

 

The designated computer clock of the Administrator is the official time-keeping device in the Sweepstakes.  

 

  1. HOW TO ENTER: During the Sweepstakes Period, there are three (3) methods of entry into the Sweepstakes, as described below. Limit one (1) qualifying Instagram Submission, one (1) qualifying TikTok Submission, and one (1) Website Registration Entry per person during the Sweepstakes Period. A qualifying Instagram Submission will earn five (5) entries, a qualifying TikTok Submission will earn five (5) entries, and a Website Registration Entry will earn one (1) entry, for a maximum of eleven (11) entries per person during the Sweepstakes Period. Use of multiple Instagram or TikTok accounts, multiple email addresses, identities, registrations, or any other methods to obtain more than the permitted number of entries is prohibited and may result in disqualification. 

 
A. Instagram Entry 

During the Sweepstakes Period, create an original video of thirty (30) seconds or less depicting or describing your ultimate "FUN-Day" using your best Australian accent (the "Submission"). Thereafter, post your Submission to your public Instagram account, include the required hashtag #FUNDAYSweepstakes in the caption, tag @fundaysweets, and follow @fundaysweets. Upon successful completion of all required steps, you will receive five (5) entries into the Sweepstakes. 

 

B. TikTok Entry 

During the Sweepstakes Period, create an original Submission meeting the requirements set forth above and post it to your public TikTok account. Include the required hashtag #FUNDAYSweepstakes in the caption, tag @fundaysweets, and follow @fundaysweets. Upon successful completion of all required steps, you will receive five (5) entries into the Sweepstakes. 

 
C. Website Registration Entry 

During the Sweepstakes Period, visit the Website, complete the online registration form by providing all required information, and submit the completed registration form. Upon successful submission of the registration form, you will receive one (1) entry into the Sweepstakes. 

 
Instagram and TikTok accounts used to enter the Sweepstakes must remain public from the time of entry through winner verification (if applicable) to permit Sponsor and Administrator to verify eligibility. Entries generated by script, macro, robotic, programmed, or other automated means, or by any means that subvert the entry process, are void.  

 
All Entries must comply with the Content Requirements set forth below and any other requirements described in these Official Rules. Entries that do not comply may be disqualified in Sponsor’s sole discretion. 

 
To receive entries via Instagram or TikTok, your applicable social media account must be public from the time of entry through winner verification (if applicable). Sponsor and Administrator may not be able to view or verify entries submitted from private accounts. Entrants should continue following @fundaysweets on the applicable platform for at least sixty (60) days following the end of the Sweepstakes Period to facilitate winner notification. After winners have been verified, entrants may return their account(s) to private status, if desired. 

 
To enter via Instagram or TikTok, you must have a valid account on the applicable platform. Accounts may be created free of charge by visiting the applicable platform's website or downloading its mobile application. Creation and use of an account are subject to the applicable platform's terms of use and privacy policy. If you do not agree to the applicable platform's terms, you cannot create an account or enter the Sweepstakes using that platform. 

 
The Sweepstakes Parties are not responsible for technical malfunctions or failures of any kind, the unavailability of Instagram or TikTok, or for lost, late, incomplete, inaccurate, misdirected, delayed, garbled, corrupted, or otherwise defective entries or communications, regardless of cause. 

 

Limit: Limit one (1) qualifying Instagram Submission, one (1) qualifying TikTok Submission, and one (1) Website Registration Entry per person during the Sweepstakes Period. A qualifying Instagram Submission will earn five (5) entries, a qualifying TikTok Submission will earn five (5) entries, and a Website Registration Entry will earn one (1) entry, for a maximum of eleven (11) entries per person during the Sweepstakes Period. Attempts by any person to obtain more than the permitted number of entries by using multiple or different email addresses, social media accounts, identities, registrations, or any other methods may void that person’s entries and result in disqualification from the Sweepstakes. 
 
Entries generated by script, computer programs, macro, programmed, robotic, or other automated means (including the use of artificial intelligence tools in a manner that violates these Official Rules, including, without limitation, use of bots, automation, or bulk submission tools) are void and may be disqualified.  Entries that are in excess of the stated limit(s), incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late or misdirected, deceptive or otherwise not in compliance with the Official Rules may be disqualified from the Sweepstakes at Sponsor’s sole and absolute discretion. Those who do not follow all instructions or abide by these Official Rules or other instructions of Sponsor may be disqualified. Entries submitted by those who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. In the event of a dispute over the identity of an entrant, Entry will be deemed submitted by the authorized account holder of the social media account used to submit the Entry, provided that person is eligible. Any potential winner may be required to show proof of being the authorized account holder.  In the event that a dispute regarding the identity of the individual who submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.  
 

  1. Submission Requirements 

Each video submitted in connection with the Sweepstakes (each, a "Submission") must comply with the following requirements. Failure to comply with these requirements may result in disqualification, in Sponsor's sole discretion. 

 
Each Submission: 

  • must be the entrant's original work and must not have been previously published, commercially exploited, or submitted in any other promotion, contest, or sweepstakes;  

  • must accurately depict or describe the entrant's ultimate "FUN-Day" using the required Australian accent;  

  • must comply with these Official Rules and all applicable Instagram and TikTok terms, conditions, community guidelines, and policies;  

  • must not infringe, misappropriate, or otherwise violate any copyright, trademark, trade dress, patent, trade secret, right of publicity, right of privacy, moral right, or other intellectual property or proprietary right of any person or entity;  

  • must not contain any individual other than the entrant unless the entrant has obtained that individual's express permission to appear in the Submission (or, if the individual is a minor, the permission of the individual's parent or legal guardian);  

  • must not contain copyrighted music, sound recordings, photographs, artwork, logos, trademarks, brand names, or other proprietary materials unless the entrant owns or has obtained all necessary rights and permissions to use such materials;  

  • must not contain any false, misleading, or deceptive statements or representations;  

  • must not contain profanity, obscene, sexually explicit, pornographic, indecent, vulgar, or offensive material;  

  • must not depict or promote violence, dangerous conduct, illegal activity, drug use, alcohol abuse, tobacco products, vaping products, gambling, weapons, or irresponsible behavior;  

  • must not contain material that is defamatory, libelous, threatening, abusive, harassing, hateful, discriminatory, or otherwise objectionable, as determined by Sponsor in its sole discretion;  

  • must not promote or depict conduct that violates any law, regulation, or generally accepted safety standards;  

  • must not contain any political message, religious message, or commercial advertising, solicitation, or endorsement;  

  • must not include confidential, proprietary, or personally identifiable information of any third party;  

  • must not contain any virus, malware, malicious code, or other harmful component;  

  • must not falsely suggest or imply that Sponsor, Administrator, Target Corporation, Instagram, TikTok, or any other person or entity endorses or sponsors the entrant or the Submission;  

  • must be suitable for publication in a family-oriented environment and be consistent with the image and reputation of Sponsor.  

 
Sponsor reserves the right, in its sole discretion, to disqualify any Submission that Sponsor determines does not comply with these Official Rules or is otherwise inconsistent with the spirit or intended purpose of the Sweepstakes. 

License Grant 
By submitting a Submission, each entrant grants Sponsor, Administrator, and their respective designees a non-exclusive, irrevocable, perpetual, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, edit, publish, display, distribute, transmit, repost, share, adapt, create derivative works from, and otherwise exploit the Submission, in whole or in part, in any manner and in any media now known or hereafter devised, including, without limitation, on Sponsor's websites, social media channels, digital platforms, and in advertising and marketing materials, for advertising, promotional, marketing, publicity, and other commercial or non-commercial purposes related to the Sweepstakes or Sponsor's business, without further notice, approval, or compensation, except where prohibited by law. Such license includes the right to use the entrant's name, social media handle, likeness, image, voice, and other identifying information contained in or associated with the Submission in connection with Sponsor's use of the Submission. Sponsor may edit, modify, crop, resize, reformat, combine with other materials, add text or graphics to, or otherwise adapt the Submission, provided that such use does not materially misrepresent the entrant or the Submission. 
 
Representations and Warranties 
By submitting a Submission, each entrant represents and warrants that: 

  • the Submission complies with these Official Rules;  

  • the entrant is the sole creator and owner of the Submission and has the full right to submit it and grant the rights described herein;  

  • the Submission does not infringe or violate the rights of any third party;  

  • the entrant has obtained all necessary permissions, licenses, and releases from any individuals appearing in the Submission; and  

  • Sponsor's exercise of the rights granted herein will not violate the rights of any third party or require Sponsor to make any payment to any person or entity. 

 
Sponsor reserves the right, in its sole discretion, to disqualify any Submission that it determines does not comply with these Official Rules or is otherwise inconsistent with the image or reputation of Sponsor. 

 

  1. SWEEPSTAKES DRAWINGS: On or about November 3, 2026, the Administrator will conduct a random drawing to select one (1) potential Grand Prize winner and fifty (50) potential First Prize winners from among all eligible entries received in accordance with these Official Rules.  

 

  1. ODDS: Odds of winning the prize depend on the total number of eligible entries received during the Sweepstakes Period. 

 

  1. WINNER NOTIFICATION/PRIZE CLAIMING: The potential winner will be notified using the contact information associated with the winning Entry. For Instagram and TikTok Entries, notification will be made via direct message on the applicable social media platform used to submit the Entry. If Sponsor or Administrator is unable to contact a potential winner via direct message (including due to privacy settings, platform restrictions, or other limitations), Sponsor or Administrator may comment on the potential winner's Entry instructing the potential winner to contact Sponsor or Administrator via direct message. For Website Registration Entries, notification will be made using the email address provided at the time of registration. 

 
The Sweepstakes Parties are not responsible for incorrect, changed, incomplete, illegible, or otherwise invalid contact information, or for any failure of a potential winner to receive notification due to privacy settings, platform limitations, spam filters, technical issues, or other circumstances beyond the control of the Sweepstakes Parties. Notification shall be deemed to have occurred immediately upon transmission of the applicable notification. The potential winner will be required to complete and return a prize redemption form ("Redemption Form") within five (5) calendar days of the date of notification. In addition, because the Approximate Retail Value of the Grand Prize exceeds $2,000, the potential winner will be required to execute and return an Affidavit of Eligibility, Liability Release, and, where lawful, Publicity Release (collectively, the "Declaration") within five (5) calendar days of notification. 

 
As a condition of receiving the Grand Prize, the potential winner and the selected travel guest will each be required to successfully complete a background check, to the extent permitted by applicable law. Sponsor reserves the right, in its sole discretion, to disqualify a potential winner or guest based on the results of the background check if Sponsor determines that awarding the Prize to such individual could damage the reputation or goodwill of Sponsor or any of the Sweepstakes Parties. If the potential winner fails the background check, the potential winner will be disqualified and an alternate winner may be selected. If the travel guest fails the background check, Sponsor may require the winner to designate an alternate eligible guest, subject to Sponsor's approval. 

 
If a potential winner cannot be contacted, is found to be ineligible, fails to timely return the Redemption Form or Declaration, fails the required background check, declines the Prize, or otherwise fails to comply with these Official Rules, the potential winner will be disqualified, and an alternate winner may be selected from among all remaining eligible Entries. Up to three (3) alternate winners may be selected, after which the Prize may remain unawarded. 

 
A potential winner becomes the official "winner" only after Sponsor has completed verification of eligibility and determined that all requirements of these Official Rules have been satisfied. 

 
No more than one (1) Grand Prize will be awarded. If, for any reason, more bona fide claimants seek to claim the Prize, the winner will be determined in a random drawing from among all persons making purportedly valid claims. Participation in such drawing shall be each claimant's sole and exclusive remedy under such circumstances. 

 

  1. PRIZE/PRIZE RESTRICTIONS: The following prizes are available to be awarded in the Sweepstakes: 

 
One (1) Grand Prize: The Grand Prize consists of a trip for the winner and one (1) travel guest to Sydney, Australia (the "Grand Prize"). The Grand Prize includes: (i) round-trip coach-class air transportation for the winner and one (1) travel guest between a major commercial airport near the winner's residence, as determined by Sponsor in its sole discretion, and Sydney, Australia; (ii) seven (7) nights' hotel accommodations (one (1) standard room, double occupancy) for the winner and one (1) travel guest at a hotel selected by Sponsor in its sole discretion; (iii) ground transportation between the airport and hotel upon arrival and between the hotel and airport upon departure; (iv) two (2) Sydney Harbour BridgeClimb tickets; two (2) WILD LIFE Sydney Zoo tickets; daily breakfast, one (1) planned lunch or dinner per day, and guided activities for the winner and travel guest; and a One Thousand Fifty Dollar ($1,050) gift card, representing One Hundred Fifty Dollars ($150) USD per day for seven (7) days, for spending money/daily expenses; and (v) an optional check in the amount of Eight Thousand Seven Hundred Seventy-Five Dollars ($8,775), which may be used to assist in offsetting, but is not intended to fully offset, any tax liability associated with acceptance of the Grand Prize. The Approximate Retail Value ("ARV") of the Grand Prize is Thirty-Three Thousand Seven Hundred Seventy-Five Dollars ($33,775). All federal, state, and local taxes associated with acceptance and use of the Grand Prize are the sole responsibility of the Grand Prize winner. The tax offset check is intended to assist with, but is not guaranteed to fully offset, any tax liability associated with acceptance of the Grand Prize. The Grand Prize winner should consult their own tax advisor regarding their individual tax obligations. 
 
Fifty (50) First Prizes: Each First Prize winner will receive one (1) $500 Prepaid Digital Gift Card. The ARV of each First Prize is Five Hundred Dollars ($500). 
 

The total ARV of all prizes available to be awarded in the Sweepstakes is Fifty-Eight Thousand Seven Hundred Seventy-Five Dollars ($58,775). 

 
Limit one (1) prize per person. 

 
Grand Prize Conditions 

The winner and travel guest must travel together on the same itinerary and are solely responsible for obtaining and possessing all required travel documents, including valid passports, visas (if applicable), and any other documents required for international travel. Failure to obtain and present the required travel documentation may result in forfeiture of the Grand Prize, in whole or in part, without compensation or substitution. The Sweepstakes Parties shall have no responsibility or liability if the winner and/or travel guest is denied entry into, or exit from, any country or is otherwise unable to travel due to the failure to obtain or present the required travel documentation. Travel must be completed between January 1, 2027 and March 31, 2027. Travel will be booked through Sponsor's designated travel agency. Travel arrangements, including airline(s), airport(s), hotel(s), itinerary, and all other travel accommodations, shall be determined by Sponsor in its sole discretion and are subject to availability. Sydney Harbour BridgeClimb and WILD LIFE Sydney Zoo sessions must be reserved during the trip and are subject to availability. The actual value of the Grand Prize may vary depending on the winner's city of departure, travel dates, airfare fluctuations, and hotel rates. Any difference between the stated ARV and the actual value of the Grand Prize will not be awarded. 

 
As a condition of receiving the Grand Prize, the winner and travel guest may be required to successfully complete a background check, to the extent permitted by applicable law. Sponsor reserves the right, in its sole discretion, to disqualify the potential winner or require the selection of an alternate travel guest if the results of such background check, in Sponsor's sole judgment, could reasonably be expected to damage the reputation or goodwill of Sponsor or any of the Sweepstakes Parties. 

 
The winner and travel guest are solely responsible for all expenses not specifically identified herein as part of the Grand Prize, including, without limitation, meals and beverages not specifically included as part of the Grand Prize, gratuities, baggage fees, seat upgrades, personal expenses, souvenirs, taxes, and all other incidental costs and expenses. Travel insurance is the sole responsibility of the winner and travel guest and must be obtained, if desired, at their own expense. 

 
No substitution, assignment, or transfer of any prize is permitted, except by Sponsor, which reserves the right, in its sole discretion, to substitute a prize, or any component thereof, with a prize of equal or greater value if the advertised prize, or any portion thereof, becomes unavailable for any reason. 

 

  1. GENERAL: Subject to applicable law, winner hereby expressly grants to the Sweepstakes Parties and their respective successors, assigns, sublicensees and designees, the irrevocable right to use and publish his/her name, social handle, likeness (photographic or simulated), voice, biography and place of residence for all purposes, including, without limitation, advertising, marketing, promotional and publicity purposes in connection with this Sweepstakes (“Advertising”), in any and all media now or hereafter devised, worldwide, in perpetuity, without any form of notice, permission or any amount or kind of compensation, except for the awarding of the prize to the winner. All copyright, trademark or other intellectual property rights in such Advertising shall be owned by Sponsor and/or its licensors, and winner hereby disclaims and waives any claim of right to such Advertising. Such Advertising shall be solely under the control of Sponsor and/or its licensors, and winner hereby waives any claim of control over the Advertising content as well as any possible claims of misuse of winner’s name, likeness or voice under contract, tort or any other theory of law. The Sweepstakes Parties do not assume any responsibility for any disruption in the Sweepstakes, including, but not limited to, the failure or interruption of any social media platform or any internet service provider. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Sweepstakes materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. In the event Sponsor is prevented from continuing with the Sweepstakes by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each, a “Force Majeure” event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Sweepstakes or prize. Sponsor additionally reserves the right, in its sole and absolute discretion to modify, suspend or terminate the Sweepstakes should causes beyond Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Sweepstakes.  

 

  1. CONDUCT: The Sweepstakes Parties are not responsible for the actions of entrants in connection with the Sweepstakes, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Sweepstakes. The Sweepstakes Parties reserve the right, at their sole discretion, to disqualify (or terminate the prize of) any individual who is found to be, or suspected of, acting in any manner deemed by the Sweepstakes Parties to be in violation of the Official Rules, or to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person, or to be tampering with the entry process or the operation of the Sweepstakes, and void all associated entries and/or registrations. CAUTION: ANY ATTEMPT BY A USER, YOU OR ANY OTHER INDIVIDUAL TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SWEEPSTAKES PARTIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.  

 

  1. WAIVERS AND DISCLAIMERS: The Sweepstakes Parties assume no responsibility or liability for: (a) lost, late, stolen, undelivered, inaccurate, incomplete, delayed, misdirected, damaged or garbled registrations, entries, URLs, or emails; (b) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (c) any unauthorized access to, or theft, destruction or alteration of entries or registrations at any point in the operation of this Sweepstakes; (d) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, cable, satellites, servers, computers or providers utilized in any aspect of the operation of the Sweepstakes; (e) inaccessibility or unavailability of the Internet or the website or any combination thereof or for computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, social networking posts, or registrations, the announcement of the prize, or in any other Sweepstakes-related materials; or (f) any injury or damage to entrants or to any other person's computer which may be related to or resulting from any attempt to participate in the Sweepstakes. If, for any reason, the Sweepstakes (or any part thereof) is not capable of running as planned for reasons which may include, without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, then the Sweepstakes Parties reserve the right at their sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part. If terminated, the Sweepstakes Parties will award the prize in a random drawing from among all non-suspect, eligible entries received for the Sweepstakes up to the time of such action.

RELEASES: All entrants, as a condition of participation in this Sweepstakes, release, discharge, indemnify and hold harmless the Sweepstakes Parties, Facebook, Instagram, TikTok, Target Corporation and each of their respective directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) from and against any and all liability, claims, costs (including attorneys’ fees), losses, damages, fines, or actions of any kind whatsoever for injuries, death, damages, or losses to persons or property which may be sustained, in whole or in part, directly or indirectly, in connection with: (i) participation in any aspect of the Sweepstakes (including travel to/from any Sweepstakes activity), (ii) the receipt, ownership, use or misuse of the prize awarded, including any travel associated with any prize, (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; (iv) entrant’s registration material on any related website, or (v) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Sweepstakes activity and/or prize.  

 

  1. GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws. 

 

BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU. 

 

  1. DISPUTE RESOLUTION: The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in the State of Delaware, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in the State of Delaware. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of Delaware. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. 

 

  1. ENTRY INFORMATION AND SWEEPSTAKES COMMUNICATIONS: As a condition of entering the Sweepstakes, each entrant gives consent for Sponsor to obtain and deliver his or her name, address and other information to third parties for the purpose of administering this Sweepstakes and to comply with applicable laws, regulations and rules. Any information an entrant provides to Sponsor may be used to communicate with entrant in relation to this Sweepstakes or on a Sweepstakes winner’s list. By participating in the Sweepstakes, entrant agrees to all of the terms and conditions of the Sponsor’s Privacy Policy, which is available at https://www.fundaysweets.com/pages/privacypolicy. In the event of any discrepancy between the Sponsor’s Privacy Policy and these Official Rules, these Official Rules shall control and govern. 

 

  1. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
